XOEye Technologies, Inc. (“XOi”, “we” or “us”) values our relationship with you and takes your privacy seriously. The purpose of this Privacy Notice is to identify how we may process, collect, store, share and use (collectively, “use”) the personal information that we collect. This is from you in connection with your interaction with the XOi website (“Website”), use of our Vision™ cloud-based software platform and related software and services (collectively, our “Application”) and other interactions (e.g., customer service inquiries, demos, etc.) you may have with us (the Website, Application, and related interactions are collectively referred to herein as the “Services”). XOi Privacy Policy Notice also identifies your rights with respect to your personal information, all as described in more detail below.
We may update or modify XOi Privacy Policy Notice at any time, by posting the amended version including the effective date of the updated version. You are responsible for periodically visiting the Website and viewing this Privacy Policy Notice to check for any changes. By accessing and/or using our Services, you accept and agree to the terms of XOi Privacy Policy Notice. If you do not agree to be bound by XOi Privacy Policy Notice or any subsequent modifications, you should not access or use our Services.

2. The information we collect about you
The information we collect across our Services can include personal information (as described below) or non-personal information, which is information that does not identify or relate to an individual.
Personal information is information relating to an identified or identifiable natural person. An identifiable natural person is one who can be identified, directly or indirectly, by reference to an identifier such as a name, an identification number, location data, an online identifier, or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person.
We do not consider personal information to include information that can no longer be used to identify a specific natural person, whether in combination with other information or otherwise.
2.1 Information about our Website visitors
We may collect personal information from you during your visits to our Website in connection with service enquiries, demo requests, content downloads, and customer support requests.

2.3 Information about Application Users
If you are the end user of our direct customer (i.e., employee, consultant, contractor, or agent, collectively “User”) registering on the Application through a license purchased by your employer or employing organization (“Customer”), most of the personal information we collect relates to your use and participation in our Application as part of performing your job duties for your employer or employing organization, pursuant to our Service Agreement with such Customer.

| Generative AI Content | AI Work SummariesIn certain cases, your employer or employing organization may configure the Application to require Users to submit a work summary before completing a workflow. The summary may be provided manually or generated automatically using AI. When Users complete all required workflow steps and select the auto-generate summary option, the Application will create a clear and comprehensive summary based on the responses provided by Users in those workflow steps. Users can edit and refine the auto-generated AI work summaries, and provide feedback by rating the summary to let XOi know how accurate and useful the AI Summary is for Users. AI TranscriptionYour employer or employing organization may build steps and features within the Application to include video transcription. When available, the Application creates a transcript by pulling the audio from the video that Users provide/upload. Depending on the background noise or clarity of the speech, these transcriptions may need editing and can be directly edited by the Users. AI BenchmarksWhere your employer or employing organization has purchased an appropriate license, they may be able track the time Users are saving using AI and compare AI adoption per user. |

2.4 Cookies and similar technologies
When you use our Services, we automatically collect certain information about your device and how you use the Services, including but not limited to your IP address, device/browser information, the pages you view, the functions/features that you use, the buttons and icons you click, the resources you access and the files you download. Such information that we collect automatically is statistical data, and does not identify any individual. It helps us to improve the Service and to deliver a better and more personalized service by enabling us to:
- Estimate user actions and usage patterns.
- Store information about your preferences, allowing us to customize the Service according to your individual needs and interests.
- Speed up your searches and navigation.
- Recognize you when you return to the Service.
To collect this information, we and our vendors may use cookies, pixels and web beacons (collectively “Cookies and similar technologies”) that track, measure, and analyze the behaviors and usage patterns on our Services.
Cookies. Cookies are small data files that are downloaded onto your computer or mobile device, which are unique to your device or account. Cookies make it easier for you to use our Service by saving your preferences so that we can use these to improve your next and subsequent visits to, for example, by remembering your login information. Cookies help us learn which areas of our Service are useful and which areas need improvement.
You can choose whether to accept cookies by changing the settings on your browser or device, or by setting your preferences by clicking on the cookie widget at the bottom of the screen. However, if you choose to disable this function, your experience with our Service may be impaired and some features may not work as they were intended.
Pixels and Web Beacons. We or third party partners may use invisible pixels or beacons on our Service to count how many users access or use certain pages, features or content. This information is collected and reported in the aggregate. We may use this information to improve our current Service offerings, develop new products or services, and target information to you that may be helpful and useful to you based upon your use of our Service.
We may also allow select third party advertising technology partners to place cookies or other tracking technologies on the browser of your device to collect information about you to serve relevant content and advertising to you as you browse the Internet. Please review “Your rights and options regarding your personal information” section to understand how you can opt out of such sharing of your personal information for targeted advertising. Legitimate Interests
Where we rely on legitimate interests as the reason for processing your personal information, we have to carry out a balancing exercise to make sure your rights as an individual are not impacted unnecessarily.
We consider that it is reasonable for us to process your personal information for the purposes of our legitimate interests when, on balance: (a) we process your personal information only so far as is necessary for such purpose, and your rights and freedoms do not outweigh such purposes, and (b) it can be reasonably expected for us to process your personal information in this way. In most cases, the information is being processed for your benefit as well as ours.
We have a legitimate business interest in processing your personal information where:
- We need the information to respond to your inquiries;
- We need the information to assess your candidacy for employment;
- We need the information to monitor, secure and improve the Service;
- We need the information to send you information; or
- We would be unable to provide our Application without processing your information.
If we wish to process your existing personal information for a new purpose other than as stated above in this XOi Privacy Policy Notice,we must inform you of that further processing and provide information surrounding your personal information’s use.
4. Who we may share your information with
In connection with our Services, we may share your personal information with the following types of recipients and for the following reasons:

Most, if not all, of the third parties with whom we may share your personal information are located and store your information in the United States, although some may store your information outside of the United States.
5. Your rights and options regarding your personal information
We endeavor to provide the following same data rights and protections to all of our users regardless of the jurisdiction in which they live. All of our users may reach out us, at the details noted under ‘How to contact us’ section above, to exercise the following rights over the personal information we have collected about you:
- Right to access, correction and deletion: The right to request: (1) to know more about (e.g., purposes of use, categories of personal information we have used and who we have disclosed your personal information to) and access your personal information in a readily usable format, (2) deletion of your personal information, and (3) correction of inaccurate personal information. You may also update or change your personal information by contacting the administrator for your employer or employing organization.
- Right to opt-out of marketing communications. In accordance with applicable law, we may send you marketing communications regarding our Services that we believe will be of interest to you. You can opt out from receiving future marketing communications from us at any time by:
- Using the unsubscribe function in the email you receive from us; or
- Contacting us as set forth under “How to contact us” above.
- Right to opt-out of cookies. As noted above in “The information we collect about you,” you can choose whether to accept cookies by changing the settings on your browser or device, or through the cookie widget at the bottom of the screen. However, if you choose to disable cookies, your experience with our Services may be impaired and some features may not work as they were intended.
In addition to the above rights, depending on where you are located in the United States, you may have additional consumer privacy rights. However, these rights are not absolute, and in certain cases we may decline your request as permitted by law:
- Right to opt out of sale or share: You have the right to instruct businesses that sell your personal information or share it for interest based or targeted advertisements to stop doing so. We do not sell your information. As explained in the “Who we may share your information with” section above, we may provide your personal information to third-party advertising providers for targeted advertising purposes. Under applicable law, the disclosure of your personal information to these third parties for these purposes may be considered as processing/sharing of personal information for targeted advertising purposes. If you would like to opt out of the disclosure of your information to such third parties through cookies and similar tools for purposes that could be considered as “sharing” or processing for purposes of targeted advertising, please disable the “Targeted Advertising” cookies within the cookie widget at the bottom of the screen.
You may select a “do not track” setting on your web browser. However, these features are not yet uniform, so we do not currently respond to such features or signals. If you have a legally recognized browser-based opt out preference signal turned on via your device browser, we recognize the preference expressed by such signal in accordance with applicable law.
- Right to limit the use or disclosure of sensitive personal information: You have the right to limit the use or sharing of your sensitive personal information (for example race, religious preferences, health or criminal history). Generally, we do not collect or disclose your sensitive personal information in the context of our Website and Application. We only use or disclose your sensitive personal information for permissible legal purposes, in connection with our recruitment and hiring processes. If you would like us to not process your sensitive personal information for the hiring process, you may request to delete your data; however, in this case, we may not be able to proceed with your job application.
- Right to opt-out of profiling. You can opt-out of the automated processing of your personal information to evaluate, analyze, or predict personal aspects related to your economic situation, health, personal preferences, interests, reliability, behavior, location, or movements. We do not engage in any such profiling activities that produce legal or similarly significant effects. As such, we don’t believe this right applies to our processing of your personal information.
- Right to non-discrimination: You have the right to be free from discrimination or retaliation related to your exercise of any of your privacy rights.
- Right to appeal: If we decline to take action on any request that you submit in connection with the rights described above, you may ask that we reconsider our response by submitting a written request to us using the information indicated under the ‘How to contact us’ section above. We will inform you in writing of any action taken or not taken in response to the appeal, including a written explanation of the reasons for the decisions. If the appeal is denied and you are not satisfied with the reasons for the decisions, you have the right to submit a complaint to the local government authority in your jurisdiction. Your local government authority will have an online portal with details regarding how to submit complaints.
If you are located in the European Union (including countries in the European Economic Area), the United Kingdom and Switzerland, you may exercise the following additional rights:
- Right to object to processing: You may request that we block your information from further processing where we are not using it to perform the Services you have requested from us. In some instances, this request may be treated as a deletion.
- Right to withdraw consent: If we process your personal information with your consent, you can withdraw your consent at any time. Withdrawing your consent will not affect the lawfulness of any processing we conducted prior to your withdrawal, nor will it affect processing of your personal information conducted in reliance on lawful processing grounds other than consent.
- Right to complain: If you are not satisfied with how we process your personal information or our response to any exercise of these rights you have the right to make a complaint with the data protection authority in your jurisdiction. Please refer to the website of your local regulatory and or data protection authority for instructions on how to contact them.
In order to protect your personal information from unauthorized access or deletion, we may require you to verify your credentials before you can submit a rights request. If you do not have an account with us, or if we suspect your account has been accessed without your authorization, we may ask you to provide additional personal information for verification. You may be able to designate an authorized agent to make requests on your behalf. In order for an authorized agent to be verified, you must provide the authorized agent with signed, written permission to make such requests or a power of attorney. We may also follow up with you to verify your identity before processing the authorized agent’s request as permitted by applicable law.
6. How we safeguard your personal information
We have put in place appropriate security measures to reduce the risks of loss, misuse, unauthorized access, disclosure and alteration. In addition, we limit access to your personal information to those employees, agents, contractors and other third parties who have a business need to know. Third parties we engage in our business who may have access to your personal information will only process your personal information on our instructions and they are required to only use your data as necessary to perform their contract with us.
While we are committed to protecting your personal information, please note that information communicated over the Internet is never 100% secure. In addition, any transmission of personal information is at your own risk.
7. How long we store your personal information
We may store your personal information as long as you use our Services and for legitimate business purposes. We may store your personal information following completion of transactions with you to the extent required to comply with our legal, accounting, or reporting requirements. Additionally, we may continue to store your personal information contained in our standard back-ups. Upon your request, we will delete or de-identify your personal information, unless we are legally required or allowed to maintain such personal information.
8. Links
Our Services may provide links to third-party websites that we do not control. We cannot be held responsible for third parties’ privacy practices or content provided on these websites. If you click on one of these links, please understand that you are leaving our Services. Any information you provide will not be covered by XOi Privacy Policy Notice. In addition, please read that website’s privacy policy before providing any information.
9. Children
Our Services are not directed to children under the age of eighteen (18) years. By using our Services, you represent that you are at least eighteen (18) years old. Therefore, if you do not meet this age requirement, then you must not access or use our Services.
We do not knowingly collect information from children under the age of thirteen (13) years old. If you are under the age of thirteen(13) years old, please do not use our Services and do not provide any information to us. For more information about the Children’s Online Privacy Protection Act (“COPPA”), which applies to websites that direct their services to children under the age of thirteen (13), please visit the Federal Trade Commission’s website:
If you think we have collected information from a child under the age of thirteen (13) through our Services, please contact us through one of the methods listed under “How to contact us” above. If we learn that we have collected the information of a child under the age of thirteen (13) years old, we will take reasonable steps to delete such information.
10. Special notice to non-U.S. users regarding data transfers
We store your personal information in the United States or other locations outside your home country. The privacy protections and the rights of authorities to access your information in these countries may not be the same as in your home country.
If you are located in a country outside the U.S. and submit personal information to us, you consent to the general use and disclosure of such information as provided in XOi Privacy Policy Notice and to the transfer and/or storage of that information to the U.S. and other countries outside your home country.
11. Governing law and jurisdiction
This Privacy Notice shall be construed and governed under the laws of the United States and State of Tennessee (without regard to rules governing conflict so flaws provisions). Therefore, you agree that the venue for all actions, arising out of or relating in any way to your use of our Services, shall be in federal or state court of competent jurisdiction located in Davidson County, Nashville, Tennessee, within one (1) year after the claim arises. Each party waives any objections based on forum non conveniens and waives any objection to venue of any action instituted here under to the extent that an action is brought in the courts identified above.
